Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and MatjarUK Technologies, Inc., a corporation registered in the State of Texas, with its principal office at 2614 Westheimer Rd, Suite 210, Houston, TX 77098 ("MatjarUK", "we", "us").

By accessing or using the MatjarUK platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Acceptable Use Policy, and any supplementary terms referenced herein.

2. Service Description

MatjarUK provides a cloud-based, multi-channel retail operations platform that enables businesses to:

  • Synchronise inventory levels across physical stores, e-commerce storefronts, and marketplace channels in real time
  • Route orders intelligently to the optimal fulfilment location based on proximity, stock levels, and shipping economics
  • Coordinate with suppliers through automated purchase-order workflows, delivery scheduling, and invoice matching
  • Analyse channel performance through unified dashboards, margin reporting, and demand forecasting

The Service is offered on a subscription basis and is accessible via web application and API. The Service generates transactional email notifications related to platform operations — it does not send marketing or promotional communications.

3. Eligibility & Access

The Service is available to businesses that are legally registered entities. By entering into these Terms, you represent that:

  • You are at least 18 years of age and have the legal authority to bind your organisation
  • Your organisation is a legitimate business engaged in retail, wholesale, or distribution activities
  • You will provide accurate and current registration information
  • You will maintain the confidentiality of your account credentials

We reserve the right to refuse service, suspend accounts, or terminate access at our sole discretion for violations of these Terms.

4. Client Obligations

As a Client of MatjarUK, you agree to:

  • Use the Service solely for lawful business purposes consistent with its intended functionality
  • Ensure that all data uploaded to the platform (product catalogues, supplier contacts, customer records) is accurate and lawfully obtained
  • Maintain appropriate security measures for your account, including the use of multi-factor authentication where available
  • Promptly notify us of any unauthorised access to your account at security@matjaruk.com
  • Comply with all applicable laws, including data protection regulations, in your use of the Service

5. Prohibited Uses

You shall not use the MatjarUK platform to:

  • Send unsolicited communications — spam, cold outreach, or bulk messaging of any kind
  • Distribute purchased or rented contact lists — all recipients must be verified platform users or contractual contacts
  • Transmit malware, phishing content, or deceptive material
  • Violate intellectual property rights of any third party
  • Engage in fraudulent, illegal, or harmful activities
  • Circumvent security controls, rate limits, or access restrictions
  • Resell, sublicence, or redistribute the Service without written authorisation
  • Interfere with the operation of the platform or other clients' use thereof

Violation of these prohibitions may result in immediate suspension or termination, and we reserve the right to report violations to relevant authorities. See our Acceptable Use Policy for detailed enforcement procedures.

6. Fees & Payment

MatjarUK operates on a subscription model with monthly or annual billing cycles. Fees are determined by your selected plan, which is based on the number of connected storefronts and monthly order volume.

  • All fees are quoted in US Dollars and are exclusive of applicable taxes
  • Invoices are issued at the start of each billing period and are due within 30 days
  • Late payments accrue interest at 1.5% per month
  • We reserve the right to adjust pricing with 60 days' written notice
  • Refunds are handled in accordance with our refund policy, available upon request

7. Intellectual Property

All intellectual property in the MatjarUK platform — including software, algorithms, user interfaces, documentation, and branding — remains the exclusive property of MatjarUK Technologies, Inc.

You retain ownership of all data you upload to the platform. By using our Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of delivering the Service.

8. Confidentiality

Both parties agree to maintain the confidentiality of information designated as confidential. This includes, but is not limited to:

  • Business data, pricing information, and strategic plans
  • Technical specifications, API keys, and system configurations
  • Customer and supplier information processed through the platform

Confidentiality obligations survive for three (3) years following termination of these Terms, except for trade secrets, which are protected indefinitely.

9. Data Protection

We process personal data in accordance with our Privacy Policy, which complies with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable data protection legislation.

Where we process personal data on your behalf, we act as a Data Processor. We will enter into a Data Processing Agreement (DPA) upon request, specifying the scope, nature, and duration of processing.

10. Service Availability & SLA

MatjarUK targets an uptime of 99.9% measured monthly, excluding planned maintenance windows.

  • Planned maintenance is communicated at least 48 hours in advance via email and in-app notification, and is typically scheduled between 02:00–06:00 UTC on Sundays
  • Unplanned outages are communicated via our status page and email as soon as they are identified
  • Service credits may be issued for downtime exceeding SLA thresholds, as detailed in your subscription agreement

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • MatjarUK's aggregate liability under these Terms shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or data loss
  • We are not liable for delays or failures resulting from circumstances beyond our reasonable control (force majeure)

12. Indemnification

You agree to indemnify, defend, and hold harmless MatjarUK Technologies, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms or applicable law
  • Your use of the Service in a manner not authorised by these Terms
  • Any third-party claims relating to data you upload or process through the platform

13. Termination

Either party may terminate this agreement:

  • For convenience: with 30 days' written notice at the end of the current billing period
  • For cause: immediately upon material breach that remains uncured for 14 days after written notice

Upon termination:

  • Your access to the Service will be revoked
  • You may request an export of your data within 30 days of termination; after this period, data is securely deleted
  • Any outstanding fees remain payable
  • Sections on Confidentiality, Limitation of Liability, Indemnification, and Governing Law survive termination

14. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

  • Any dispute arising under these Terms shall first be subject to good-faith negotiation for a period of 30 days
  • If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • The seat of arbitration shall be Houston, Texas
  • Each party bears its own costs unless the arbitrator determines otherwise
